Acceptance of Terms

Welcome to KathaSync. These Terms of Service (“Terms”) govern your access to and use of the KathaSync website, applications, and services (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” and “your” will refer to that organization.

Service Description

KathaSync is a voice-to-text software-as-a-service (SaaS) platform that provides the following capabilities:

• Audio Transcription: Converting audio recordings (Bengali, English, and Banglish) to text using AI-powered speech recognition
• Text Transformation: Translation between Bengali and English, reformatting, summarization, and dialect preservation
• History Management: Storing and organizing your transcription history for easy access
• Export Options: Downloading transcriptions in various formats (TXT, DOCX, PDF)

The Service is provided on a credit-based model where users purchase credits to process audio content. The Service is designed primarily for users in Bangladesh, with support for local languages and payment methods.

Eligibility

To use KathaSync, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement under the laws of Bangladesh or your jurisdiction
• Not be prohibited from using the Service under any applicable law
• Not have been previously suspended or removed from the Service for violation of these Terms

AI Service Disclaimers

Our Service utilizes experimental technology provided by third-party AI providers. You acknowledge and agree that:

• AI-generated content may sometimes be inaccurate, incomplete, or offensive.
• Outputs do not represent the views of KathaSync.
• You must use discretion before relying on or publishing generated content.

Account Registration

To access most features of the Service, you must create an account. When registering:

• You must provide accurate, complete, and current information
• You must maintain and promptly update your account information
• You are responsible for safeguarding your password and for all activities under your account
• You must immediately notify us of any unauthorized use of your account at support@kathasync.com
• You may not share your account credentials with others
• You may not create multiple accounts to circumvent restrictions or abuse the Service

We reserve the right to suspend or terminate accounts that contain false or misleading information.

User Obligations

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms:

• Use the Service in compliance with all applicable laws and regulations
• Respect the intellectual property rights of others
• Obtain all necessary consents before uploading audio containing other people's voices
• Maintain the confidentiality of your account credentials
• Report any security vulnerabilities or bugs to support@kathasync.com

Prohibited Content

You must not upload, transmit, or process audio content that:

• Contains illegal content or promotes illegal activities
• Infringes on third-party intellectual property rights
• Contains malware, viruses, or harmful code
• Involves harassment, threats, or hate speech
• Contains sexually explicit content involving minors
• Violates anyone's privacy without their consent
• Impersonates any person or entity
• Is designed to manipulate or deceive others

Credits & Payments

Credit System

KathaSync operates on a credit-based system:

• New User Credits: New accounts receive a limited number of free credits to try the Service
• Credit Deduction: Credits are deducted based on the actual duration of processed audio (calculated per minute, rounded up)
• Credit Packages: Additional credits can be purchased through our pricing page in various packages
• No Expiration: Purchased credits do not expire as long as your account remains active
• Non-Transferable: Credits cannot be transferred between accounts or converted to cash

Payment Terms

Payments are processed through bKash personal retail:

• All prices are displayed in Bangladesh Taka (BDT) and include any applicable taxes
• Payment is made by sending money to our designated bKash number and providing the transaction ID for verification
• Credits are added to your account upon successful payment verification
• Payment verification typically occurs within 1-24 hours
• You are responsible for any fees charged by your mobile financial service provider

Pricing Changes

We reserve the right to modify our pricing at any time. Price changes will not affect credits already purchased. We will notify users of significant pricing changes at least 14 days in advance via email and in-app notification.

Intellectual Property

KathaSync Ownership: The Service, including its original content (excluding user content), features, and functionality, is owned by KathaSync and is protected by copyright, trademark, and other intellectual property laws.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, disassemble, or decompile any part of the Service
• Remove or alter any proprietary notices or labels
• Use the Service to build a competing product or service
• Scrape, crawl, or use automated means to access the Service without permission
• Resell or redistribute the Service without authorization

Data Ownership

Your Content: You retain all rights to the audio files you upload and the resulting transcriptions. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.

Our Use: We do not claim ownership of your content and will not use your audio files or transcriptions for any purpose other than delivering the Service, unless:

• You explicitly consent to additional use
• Required by law or legal process
• Necessary to protect the rights, property, or safety of KathaSync or others

Anonymized Data: We may use anonymized, aggregated data that does not identify you for improving our services and analytics.

Service Availability

We strive to provide a reliable Service but cannot guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (we will try to provide advance notice)
• Emergency maintenance or security updates
• Third-party service outages (cloud providers, AI services)
• Force majeure events beyond our control
• Network or infrastructure issues

We do not guarantee any specific uptime percentage or service level. In case of extended outages affecting paid services, we may, at our discretion, offer credit compensation.

Limitation of Liability

To the maximum extent permitted by applicable law, KathaSync and its officers, directors, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from interruption or unavailability of the Service
• Inaccuracies in transcriptions or translations
• Unauthorized access to or alteration of your transmissions or data due to third-party actions

Maximum Liability: Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to KathaSync in the twelve (12) months preceding the claim.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness of transcriptions
• Warranties that the Service will be error-free or uninterrupted
• Warranties that defects will be corrected
• Warranties regarding the security of the Service

You acknowledge that speech recognition technology is not perfect and transcription accuracy may vary based on audio quality, accents, background noise, and other factors. You are responsible for reviewing and verifying all transcriptions before use.

Indemnification

You agree to indemnify, defend, and hold harmless KathaSync and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you upload or transmit through the Service
• Any misrepresentation made by you

Termination

By You

You may terminate your account at any time by contacting support@kathasync.com or through your account settings. Upon termination:

• Your access to the Service will be immediately revoked
• Any unused credits will be forfeited and are non-refundable
• Your data will be deleted according to our Privacy Policy retention schedules

By Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms or any applicable law
• You engage in fraudulent or abusive behavior
• You fail to pay for services
• Your account has been inactive for an extended period (12+ months)
• We are required to do so by law
• We discontinue the Service entirely

Effect of Termination

Upon termination, all provisions of these Terms that should survive termination will survive, including intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service:

Informal Resolution

We encourage you to contact us first at support@kathasync.com. We will make reasonable efforts to resolve any dispute informally within 30 days of receiving your complaint.

Arbitration

If we cannot resolve the dispute informally, you and KathaSync agree to resolve any dispute through binding arbitration in Dhaka, Bangladesh, conducted in accordance with the Arbitration Act, 2001 of Bangladesh. The arbitration will be conducted in Bengali or English, as mutually agreed.

Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law provisions.

Subject to the arbitration provisions above, any legal action or proceeding relating to these Terms shall be brought exclusively in the courts located in Dhaka, Bangladesh, and you consent to the personal jurisdiction of such courts.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will post the updated Terms on this page with a new “Last updated” date
• For material changes, we will notify you via email or in-app notification at least 30 days before the changes take effect
• Your continued use of the Service after the effective date constitutes acceptance of the revised Terms

If you do not agree to the modified Terms, you should discontinue use of the Service and delete your account before the changes take effect.
